The Global Legal team supports the business by drafting, reviewing, and negotiating commercial contracts with clients, suppliers, and other third parties. Also, our team advises management on general corporate and commercial matters. We strive for excellence in our work, knowledge sharing between team members, and create, maintain, and support a healthy work environment. The Global Legal team works in an international environment with exposure to numerous interesting legal topics in the IT industry. This position will report to the General Counsel based in Germany.
What you will do
- Responsible for drafting, negotiating, structuring, interpreting, executing, and/or administering contractual documents for all msg global solution entities worldwide (predominantly in Spanish speaking countries) in all areas of IT Law including master services agreements, other client and procurement agreements, licensing agreements, subcontractor and partnership agreements and nondisclosure agreements
- Provide general day to day legal advice for all companies of msg global solutions.
- Analysis of legal risks and ensuring compliance with current corporate law legislation and suggest developments and available courses of action and support their resolution.
- Manage Intercompany agreements.
- Handle contract changes, control process and related correspondence requiring legal input.
- Manage, distribute, analyze and answer RFIs, RFPs, RFQs or customer terms & conditions as needed.
- Develop and maintain contract templates, contracts policy, legal risk and liability, and company position on various matters.
- Prepare contracts for internal review and approval and ensures compliance with company policies as well as applicable laws or regulations.
- Interpret contracts and provide advice to Sales/Consulting Managers on contractual responsibilities.
What we are looking for
Requirements
- 3-5 years of relevant working experience in contract and commercial law, in-house or in private practice, within the IT industry.
- European qualified lawyer (preferably fully proficient in more than one jurisdiction).
- Excellent written & oral communication skills in English and Spanish; other languages are a plus.
- Results oriented, providing pragmatic solutions, adaptable to change, hands-on, self-starter able to work with incomplete information, innovative mindset, and team player.
- Ability to collaborate successfully with and provide leadership to cross-functional stakeholders; to work on multiple projects at the same time well organized, in a multi-cultural, agile, diverse, and high paced environment and in all administration work associated with the legal work.
